The legal agreement between you, your organization, and Pinstripe Business Services LLC when you use Pinstripe Fleet.

These Terms of Service form a legal agreement between you, your organization, and Pinstripe Business Services LLC(“Pinstripe,” “we,” “us”). By creating an account, accepting an invitation, or otherwise using Pinstripe Fleet, you agree to these Terms and to the other policies referenced below.

01.Introduction and Agreement

These Terms govern your use of Pinstripe Fleet, a software platform provided by Pinstripe Business Services LLC. They incorporate our Privacy Policy, Cookie Policy, Acceptable Use Policy, Billing Policy, Data Processing Addendum, Messaging Terms, and Subprocessor List.

You accept these Terms electronically when you sign up, accept an invitation, or otherwise use the service. If you do not agree, you may not use Pinstripe Fleet.

02.Business-to-Business Nature

Pinstripe Fleet is offered primarily to businesses (each, an “Organization”) and to the individuals the Organization authorizes to use the service. Different rules may apply depending on your role:

  • The Organization is our contracting counterparty.
  • An Organization owner is the individual who created the Organization or was designated as owner.
  • Administrators, managers, and employees are Organization members with different levels of access.
  • Customers are people who receive services from the Organization.
  • Customer-portal visitors are people who use a scoped link to view job progress for the Organization that shared the link.

03.Authority to Accept

If you create an Organization or otherwise agree to these Terms on behalf of a business, you represent that you are at least 18 years old, have legal capacity to enter this agreement, have authority to bind the Organization, and have provided accurate information.

Invited employees do not need to make that representation. They agree only to their individual use of the service and to the applicable policies.

04.Accounts and Access

  • You must provide accurate registration information and keep it current.
  • You are responsible for safeguarding your password and, when available, enabling multi-factor authentication.
  • The Organization is responsible for the activity of its authorized users.
  • You may not share your account or credentials.
  • You must promptly report any suspected unauthorized access to [email protected].
  • Deactivated or suspended users lose access; the Organization is responsible for offboarding.

05.Organization Responsibility

The Organization is responsible for:

  • Its authorized users, customers, and customer records.
  • Its service descriptions, pricing, invoices, and taxes.
  • Its employment relationships and applicable employment-law obligations.
  • The content it uploads, including photos, videos, notes, and documents.
  • Its use of any time-tracking or location-collection feature, including obtaining any legally required notice or consent from employees and customers.
  • Ensuring that its use of the platform complies with applicable law.

Nothing in these Terms makes Pinstripe the Organization's employer, its customer's service provider, or a party to the Organization's service contract with its customer.

06.Platform Role

Pinstripe provides software used by independent businesses. Pinstripe is not automatically:

  • The Organization's employer, or the employer of its workers.
  • The Organization's customer-service provider or the merchant of its underlying services.
  • Responsible for the quality of the Organization's work or the conduct of its employees.
  • Responsible for the Organization's tax, licensing, insurance, or regulatory obligations.

07.Customer and Job Data

The Organization retains ownership of the customer and business data it enters or generates in the platform, including names, contact information, service locations, access instructions, job details, photos, videos, signatures, checklists, notes, invoices, payment metadata, calendar information, and workforce records.

The Organization grants Pinstripe a limited, worldwide, non-exclusive license to host, process, transmit, display, back up, and otherwise use that data solely as reasonably necessary to provide, secure, support, and improve the service.

08.Photos, Videos, and Uploaded Content

By uploading content you represent that you have the right to do so and that the content does not violate the rights of any third party, including intellectual-property and privacy rights. You are responsible for obtaining any consent required to depict people in the content.

Prohibited content is described in the Acceptable Use Policy. Pinstripe may remove content that is unlawful, violates these Terms, or is reported and reasonably determined to be improper.

The Organization controls which authorized job media is visible to its customer through the customer portal.

09.Customer Portal

Organizations may share a scoped link (a “portal token”) that lets a customer view designated job information. Portal tokens expire, may be revoked, and require verification such as a ZIP code or the last four digits of the phone on file.

ZIP-code or last-four-digit checks are not strong identity verification. The Organization and the customer are responsible for protecting the portal link. Pinstripe does not guarantee that any verification method prevents all unauthorized access.

10.Third-Party Services

The platform integrates with third-party services, currently including Stripe, Stripe Connect, Supabase (through Lovable Cloud), Cloudflare (including Cloudflare R2 for media), and email delivery through Lovable. Third-party services have their own terms and privacy policies. We identify additional providers on our Subprocessor List only when they are actually integrated.

11.Platform Subscription Billing

Details of subscription billing appear in our Billing, Cancellation, and Refund Policy, which is incorporated by reference. Highlights include monthly and annual billing, additional user seats, add-ons, taxes, automatic renewal, plan changes, grace periods for failed payments, and cancellation. The checkout screen displays the exact charge, currency, billing interval, and renewal terms before you authorize the transaction.

12.Customer Payment Processing

Platform Subscription Billing (payments to Pinstripe for the service) is separate from Organization Customer Payment Processing (payments an Organization receives from its own customers through Stripe Connect). Stripe may require separate onboarding and verification for connected accounts. Refunds for an Organization's services are generally controlled by the Organization. Pinstripe does not store full payment-card numbers. Balances in a connected account do not automatically pay the Organization's Pinstripe subscription.

13.Cancellation

For a self-service subscription, you may cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current paid billing period; you retain access through that period and are not billed for the next renewal. Enterprise contracts may specify different terms.

Cancellation is not more burdensome than enrollment and does not require a phone call for a subscription purchased online.

14.Refunds

Subscription payments are generally non-refundable except where required by law, where an Enterprise contract states otherwise, or where Pinstripe approves a refund in its discretion. Full details are in the Billing Policy.

15.Acceptable Use

Your use of the service is subject to the Acceptable Use Policy, which prohibits illegal, harmful, and abusive activity and sets out enforcement actions.

16.Prohibited and Restricted Data

The standard platform is not designed for and must not be used to store: Social Security numbers, full payment-card numbers or CVVs, financial-account passwords, government authentication credentials, protected health information requiring a HIPAA business associate agreement, criminal-justice information requiring CJIS controls, classified information, biometric templates used for identification, or other highly sensitive data whose storage would require compliance features that Pinstripe has not agreed in writing to provide.

An Enterprise contract may establish different approved use cases only after review.

17.Intellectual Property

Pinstripe owns the platform, including the software, brand, interface, documentation, and templates. The Organization owns its data. Any feedback you provide may be used by Pinstripe without obligation. You may not copy, reverse engineer, scrape, resell, or sublicense the service except as permitted by law or as expressly authorized by us.

18.Confidentiality

Each party will protect the other party's confidential information with reasonable care, will use it only to perform under these Terms, and will limit access to personnel who need to know. Confidentiality does not apply to information that is public through no fault of the receiving party, independently developed, rightfully received from a third party without confidentiality obligations, or required to be disclosed by law.

19.Service Availability

We use commercially reasonable efforts to keep the service available. We do not guarantee uninterrupted or error-free operation. Maintenance, updates, third-party or internet outages, mobile-device limitations, and offline synchronization may affect availability. Beta features may change or be withdrawn. No service level agreement applies to standard accounts unless we agree otherwise in writing.

20.Backups and Data Export

We maintain vendor-managed backups intended to support disaster recovery, not per-user file restoration. We do not guarantee that every file can be restored. You are encouraged to export data that is important to your business.

21.Suspension and Termination

We may suspend or terminate access for nonpayment, security risk, illegal use, abuse, fraud, repeated policy violations, threats to platform stability, court order, or as required by law. Where practical we will provide notice. We will preserve reasonable emergency access to billing and data-export tools where appropriate.

22.Disclaimers

Except as expressly stated, the service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. Pinstripe does not provide legal, tax, accounting, or employment advice, regulatory licensing, emergency services, or guaranteed business results. Nothing here disclaims liability that cannot be disclaimed under applicable law.

23.Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, exemplary, or punitive damages. Except for a party's willful misconduct, fraud, indemnification obligations, or liability that cannot be limited by law, each party's aggregate liability arising out of or related to these Terms is limited to the fees paid to Pinstripe for the service during the twelve (12) months preceding the event giving rise to the claim.

This section is drafted for review by counsel. The reference period and any final cap will be confirmed before publication as a final agreement.

24.Indemnification

The Organization will defend, indemnify, and hold harmless Pinstripe and its personnel from third-party claims arising out of the Organization's misuse of the service, its unlawful content, its violation of these Terms or applicable law, or its violation of a third party's rights, including intellectual-property and privacy rights.

25.Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Venue and any dispute-resolution mechanism will be addressed in a final version reviewed by counsel.

26.Changes to Terms

We may update these Terms from time to time. When we make a material change, we will post the updated version, update the “Last updated” date, and where appropriate ask you to accept the new version before continuing to use the service. Continued use of the service after an update becomes effective constitutes acceptance of the updated Terms unless renewed acceptance is required.
